These Freelancing Terms govern the relationship between Nagpur Portal Company (NPC) and any freelancer (“Freelancer”) engaged to provide services to or on behalf of NPC. By accepting a freelance assignment or project from NPC, you agree to these terms and conditions.
1. Engagement
- Independent Contractor: The Freelancer is engaged as an independent contractor and is not an employee, agent, or representative of NPC. The Freelancer is responsible for their own taxes, insurance, and other obligations as an independent contractor.
- Scope of Work: The specific services to be provided by the Freelancer, including deliverables, deadlines, and compensation, will be outlined in a project agreement or statement of work (SOW) provided by NPC.
2. Payment Terms
- Compensation: The Freelancer will be compensated as specified in the project agreement or SOW. Payment terms, including rates, milestones, and due dates, will be agreed upon before the commencement of work.
- Invoicing: The Freelancer must submit an invoice to NPC upon completion of the project or as specified in the project agreement. Invoices should include a detailed description of the work completed.
- Payment Schedule: NPC will process payment within the agreed-upon timeframe, typically within 30 days of receiving a valid invoice. Payment methods will be discussed and agreed upon before the start of the project.
- Expenses: Unless otherwise agreed in writing, the Freelancer is responsible for all personal and business expenses incurred during the project. Any reimbursable expenses must be pre-approved by NPC.
3. Confidentiality and Non-Disclosure
- Confidential Information: The Freelancer may have access to NPC’s confidential information, including but not limited to business plans, client information, marketing strategies, and proprietary data. The Freelancer agrees to keep this information confidential and not to disclose it to any third party without NPC’s written consent.
- Non-Disclosure Agreement (NDA): The Freelancer may be required to sign an NDA as part of the engagement. The terms of the NDA will apply in addition to these Freelancing Terms.
4. Intellectual Property
- Work for Hire: All work created by the Freelancer for NPC, including designs, content, code, and other deliverables, is considered “work for hire” and will be the exclusive property of NPC. The Freelancer agrees to assign all rights, title, and interest in the work to NPC upon completion.
- Use of Work: The Freelancer may not use the work created for NPC for any other purpose, including portfolio use, without obtaining written permission from NPC.
5. Revisions and Feedback
- Revisions: The Freelancer agrees to make revisions to the work as requested by NPC. The number of revisions allowed will be specified in the project agreement. Additional revisions beyond what is agreed may incur extra costs.
- Feedback: The Freelancer is expected to be responsive to feedback from NPC and to make reasonable efforts to incorporate requested changes.
6. Project Timeline
- Deadlines: The Freelancer agrees to complete the project by the deadline specified in the project agreement. Delays in delivering work may result in penalties or reductions in payment, as agreed upon in the project terms.
- Communication: The Freelancer must maintain regular communication with NPC, providing updates on the project’s progress and notifying NPC immediately of any potential delays.
7. Termination
- By NPC: NPC reserves the right to terminate the engagement at any time for any reason, including but not limited to breach of terms, poor performance, or failure to meet deadlines. NPC will compensate the Freelancer for any completed work up to the termination date.
- By Freelancer: The Freelancer may terminate the engagement by providing written notice to NPC. The Freelancer must complete any work in progress or as agreed upon before termination.
- Consequences of Termination: Upon termination, the Freelancer must return or delete any NPC property, data, or materials in their possession.
8. Warranties and Representations
- Quality of Work: The Freelancer warrants that all work provided will be of professional quality, free from defects, and in compliance with the specifications provided by NPC.
- Originality: The Freelancer warrants that all work provided will be original and not infringe on the rights of any third party, including intellectual property rights. The Freelancer agrees to indemnify NPC against any claims arising from breaches of this warranty.
- Legal Compliance: The Freelancer agrees to comply with all applicable laws and regulations in the performance of their services.
9. Indemnification
The Freelancer agrees to indemnify, defend, and hold harmless NPC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with the Freelancer’s work, breach of these terms, or violation of any rights of a third party.
10. Non-Solicitation
During the term of engagement and for a period of 12 months thereafter, the Freelancer agrees not to solicit or accept employment or freelance work from any client of NPC with whom the Freelancer had direct or indirect contact during the engagement, without NPC’s prior written consent.
11. Dispute Resolution
- Negotiation: Any disputes arising out of or relating to these Freelancing Terms will be resolved through good-faith negotiation between the parties.
- Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.
12. Governing Law
These Freelancing Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these terms will be subject to the exclusive jurisdiction of the courts in Nagpur.
13. Amendments
NPC reserves the right to update or modify these Freelancing Terms at any time. The Freelancer will be notified of any significant changes, and continued work with NPC constitutes acceptance of the updated terms.
