These Collaboration Terms outline the agreement between Nagpur Portal Company (NPC) and any party (“Collaborator”) engaged in a collaborative project or initiative with NPC. By participating in the collaboration, you agree to the following terms and conditions.

1. Engagement

  • Nature of Collaboration: The collaboration involves the joint effort of NPC and the Collaborator to achieve specific project goals, as outlined in the project agreement or memorandum of understanding (MOU). The nature and scope of the collaboration will be defined in detail in the project documentation.
  • Independent Entities: Both NPC and the Collaborator operate as independent entities and are not considered partners, joint ventures, or agents of each other. Each party will retain its own rights and responsibilities.

2. Roles and Responsibilities

  • Project Scope: The roles, responsibilities, and deliverables for each party will be clearly defined in the project agreement or MOU. Both parties agree to adhere to their respective roles and fulfill their responsibilities as outlined.
  • Communication: Both parties agree to maintain open and regular communication throughout the collaboration. Any issues, changes, or updates related to the project should be communicated promptly.

3. Intellectual Property

  • Ownership: Intellectual property created during the collaboration, including but not limited to designs, content, and inventions, will be owned as specified in the project agreement or MOU. Typically, ownership will be shared or assigned based on contributions.
  • Licensing: Each party grants the other a non-exclusive, royalty-free, worldwide license to use, distribute, and promote any intellectual property created during the collaboration for the purpose of the project.

4. Confidentiality

  • Confidential Information: Both parties may share confidential information related to the collaboration. Both parties agree to maintain the confidentiality of this information and not disclose it to any third party without prior written consent.
  • Non-Disclosure Agreement (NDA): Both parties may be required to sign an NDA as part of the collaboration. The terms of the NDA will apply in addition to these Collaboration Terms.

5. Financial Arrangements

  • Costs and Expenses: Each party will be responsible for its own costs and expenses unless otherwise specified in the project agreement. Any shared costs or expenses will be outlined in the agreement.
  • Revenue Sharing: If the collaboration involves revenue generation, the revenue sharing arrangements will be specified in the project agreement. Both parties agree to adhere to the agreed-upon revenue distribution.

6. Timeline and Milestones

  • Project Schedule: The timeline for the collaboration, including key milestones and deadlines, will be outlined in the project agreement. Both parties agree to adhere to the agreed schedule and notify each other of any potential delays.
  • Deliverables: Each party agrees to deliver its contributions in accordance with the timeline and quality standards specified in the project agreement.

7. Termination

  • By NPC: NPC reserves the right to terminate the collaboration at any time for any reason, including but not limited to breach of terms, poor performance, or failure to meet deadlines. The Collaborator will be informed of the termination decision and any immediate actions required.
  • By Collaborator: The Collaborator may terminate the collaboration by providing written notice to NPC. The Collaborator must complete any outstanding obligations or provide reasonable notice as agreed.
  • Consequences of Termination: Upon termination, both parties must return or delete any property, data, or materials related to the collaboration.

8. Warranties and Representations

  • Quality of Work: Both parties warrant that their contributions will be of professional quality, free from defects, and in compliance with the specifications provided.
  • Compliance: Both parties warrant that their contributions will not infringe on the rights of any third party and will comply with all applicable laws and regulations.

9. Indemnification

Both parties agree to indemnify, defend, and hold harmless each other, their affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with the collaboration, breach of these terms, or violation of any rights of a third party.

10. Dispute Resolution

  • Negotiation: Any disputes arising out of or relating to these Collaboration Terms will be resolved through good-faith negotiation between the parties.
  • Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.

11. Governing Law

These Collaboration Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these terms will be subject to the exclusive jurisdiction of the courts in Nagpur.

12. Amendments

NPC reserves the right to update or modify these Collaboration Terms at any time. Both parties will be notified of any significant changes, and continued participation in the collaboration constitutes acceptance of the updated terms.
