These Content Creator Terms outline the agreement between Nagpur Portal Company (NPC) and any content creator (“Creator”) engaged to produce content for or on behalf of NPC. By creating and delivering content to NPC, you agree to the following terms and conditions.

1. Engagement

  • Independent Contractor: The Creator is engaged as an independent contractor and is not an employee, agent, or representative of NPC. The Creator is responsible for their own taxes, insurance, and other obligations as an independent contractor.
  • Scope of Work: The specific content to be created, including formats, topics, deadlines, and compensation, will be outlined in a project agreement or content brief provided by NPC.

2. Content Requirements

  • Originality: The Creator must produce original content that does not infringe on the rights of any third party, including intellectual property rights. The content should not be plagiarized or copied from other sources without proper attribution.
  • Quality Standards: The content must meet the quality standards specified by NPC, including being free from grammatical errors, factual inaccuracies, and inappropriate or offensive material.
  • Format and Delivery: The content must be delivered in the format and by the deadlines specified in the project agreement or content brief. NPC reserves the right to request revisions if the content does not meet the agreed-upon standards.

3. Compensation

  • Payment Terms: The Creator will be compensated as specified in the project agreement or content brief. Payment terms, including rates, milestones, and due dates, will be agreed upon before the commencement of work.
  • Invoicing: The Creator must submit an invoice to NPC upon completion of the content or as specified in the project agreement. Invoices should include a detailed description of the content delivered.
  • Payment Schedule: NPC will process payment within the agreed-upon timeframe, typically within 30 days of receiving a valid invoice. Payment methods will be discussed and agreed upon before the start of the project.

4. Intellectual Property

  • Ownership of Content: Upon payment, all rights, title, and interest in the content created by the Creator will be transferred to NPC. NPC will have the exclusive right to use, modify, distribute, and publish the content in any format and on any platform.
  • Use of Content: The Creator may not use the content created for NPC for any other purpose, including portfolio use, without obtaining written permission from NPC.

5. Confidentiality and Non-Disclosure

  • Confidential Information: The Creator may have access to NPC’s confidential information, including business plans, marketing strategies, client information, and proprietary data. The Creator agrees to keep this information confidential and not to disclose it to any third party without NPC’s written consent.
  • Non-Disclosure Agreement (NDA): The Creator may be required to sign an NDA as part of the engagement. The terms of the NDA will apply in addition to these Content Creator Terms.

6. Revisions and Feedback

  • Revisions: The Creator agrees to make revisions to the content as requested by NPC. The number of revisions allowed will be specified in the project agreement. Additional revisions beyond what is agreed may incur extra costs.
  • Feedback: The Creator is expected to be responsive to feedback from NPC and to make reasonable efforts to incorporate requested changes.

7. Project Timeline

  • Deadlines: The Creator agrees to complete the content by the deadline specified in the project agreement. Delays in delivering content may result in penalties or reductions in payment, as agreed upon in the project terms.
  • Communication: The Creator must maintain regular communication with NPC, providing updates on the content’s progress and notifying NPC immediately of any potential delays.

8. Termination

  • By NPC: NPC reserves the right to terminate the engagement at any time for any reason, including but not limited to breach of terms, poor performance, or failure to meet deadlines. NPC will compensate the Creator for any completed content up to the termination date.
  • By Creator: The Creator may terminate the engagement by providing written notice to NPC. The Creator must complete any content in progress or as agreed upon before termination.
  • Consequences of Termination: Upon termination, the Creator must return or delete any NPC property, data, or materials in their possession.

9. Warranties and Representations

  • Quality of Content: The Creator warrants that all content provided will be of professional quality, free from defects, and in compliance with the specifications provided by NPC.
  • Originality: The Creator warrants that all content provided will be original and not infringe on the rights of any third party, including intellectual property rights. The Creator agrees to indemnify NPC against any claims arising from breaches of this warranty.
  • Legal Compliance: The Creator agrees to comply with all applicable laws and regulations in the performance of their services.

10. Indemnification

The Creator agrees to indemnify, defend, and hold harmless NPC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with the Creator’s content, breach of these terms, or violation of any rights of a third party.

11. Non-Solicitation

During the term of engagement and for a period of 12 months thereafter, the Creator agrees not to solicit or accept employment or freelance work from any client of NPC with whom the Creator had direct or indirect contact during the engagement, without NPC’s prior written consent.

12. Dispute Resolution

  • Negotiation: Any disputes arising out of or relating to these Content Creator Terms will be resolved through good-faith negotiation between the parties.
  • Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.

13. Governing Law

These Content Creator Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these terms will be subject to the exclusive jurisdiction of the courts in Nagpur.

14. Amendments

NPC reserves the right to update or modify these Content Creator Terms at any time. The Creator will be notified of any significant changes, and continued work with NPC constitutes acceptance of the updated terms.
