These Creator Program Terms outline the agreement between Nagpur Portal Company (NPC) and any participant (“Creator”) in the Creator Program. By participating in the program, you agree to the following terms and conditions.

1. Program Overview

  • Content Creation: Creators will provide content, including but not limited to articles, videos, graphics, and other media, as specified in the program guidelines and agreements.
  • Content Distribution: NPC will handle the distribution and promotion of the content through various channels, including but not limited to websites, social media, and marketing campaigns.
  • Earnings Sharing: The revenue generated from the distributed content will be shared between the Creator and NPC, with Creators receiving 60% and NPC receiving 40%.

2. Content Creation

  • Submission: Creators must submit content that meets the specifications and quality standards outlined in the program guidelines or project agreements. Content must be original, free from plagiarism, and compliant with all applicable laws and regulations.
  • Ownership: The Creator retains ownership of the intellectual property rights in the content but grants NPC a non-exclusive, royalty-free, worldwide license to use, distribute, and promote the content.
  • Revisions: NPC may request revisions to the content. Creators agree to make reasonable adjustments as requested to ensure the content meets the agreed-upon standards.

3. Content Distribution

  • Channels: NPC will distribute the content through various channels as deemed appropriate. This includes, but is not limited to, NPC’s website, social media platforms, and email marketing.
  • Promotion: NPC will actively promote the content to maximize its reach and impact. NPC will have the discretion to determine the promotional strategies and platforms used.

4. Earnings and Payment

  • Revenue Sharing: Revenue generated from the content, including but not limited to advertising revenue, sponsorships, and sales, will be split as follows: 60% to the Creator and 40% to NPC.
  • Tracking and Reporting: NPC will provide Creators with periodic reports detailing earnings and performance metrics related to their content.
  • Payment Terms: Payments to Creators will be made on a [monthly/quarterly] basis, within [30/60] days of the end of each payment period. Payments will be made through [specified payment methods, e.g., bank transfer, PayPal].

5. Intellectual Property and Licensing

  • Content Ownership: Creators retain ownership of the content they produce. However, by participating in the Creator Program, Creators grant NPC a non-exclusive, royalty-free, perpetual license to use, modify, and distribute the content.
  • Use of Content: NPC may use the content in any manner necessary for its distribution, promotion, and marketing efforts. Creators may not use the content created for NPC for other purposes without NPC’s written consent.

6. Confidentiality

  • Confidential Information: Creators may have access to NPC’s confidential information. Creators agree to maintain the confidentiality of this information and not to disclose it to any third party without NPC’s prior written consent.
  • Non-Disclosure Agreement (NDA): Creators may be required to sign an NDA as part of their participation in the program. The terms of the NDA will apply in addition to these Creator Program Terms.

7. Performance and Metrics

  • Performance Monitoring: NPC will monitor the performance of the content and provide Creators with feedback and performance metrics. Creators agree to review this feedback and make necessary adjustments to improve content performance.
  • Minimum Performance Requirements: NPC may set minimum performance criteria for content. Failure to meet these criteria may impact revenue sharing and continued participation in the program.

8. Termination

  • By NPC: NPC reserves the right to terminate the Creator’s participation in the program at any time for any reason, including but not limited to breach of terms, poor performance, or failure to meet content standards. Creators will be compensated for any earned revenue up to the termination date.
  • By Creator: Creators may terminate their participation in the program by providing written notice to NPC. Creators must complete any outstanding content obligations before termination.
  • Consequences of Termination: Upon termination, Creators must cease any use of NPC’s branding, trademarks, and promotional materials related to the Creator Program.

9. Warranties and Representations

  • Quality of Content: Creators warrant that all content provided will be of professional quality, free from defects, and in compliance with the specifications provided by NPC.
  • Originality: Creators warrant that all content provided will be original and not infringe on the rights of any third party. Creators agree to indemnify NPC against any claims arising from breaches of this warranty.
  • Legal Compliance: Creators agree to comply with all applicable laws and regulations in the creation and distribution of their content.

10. Indemnification

The Creator agrees to indemnify, defend, and hold harmless NPC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with the Creator’s content, breach of these terms, or violation of any rights of a third party.

11. Dispute Resolution

  • Negotiation: Any disputes arising out of or relating to these Creator Program Terms will be resolved through good-faith negotiation between the parties.
  • Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.

12. Governing Law

These Creator Program Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these terms will be subject to the exclusive jurisdiction of the courts in Nagpur.

13. Amendments

NPC reserves the right to update or modify these Creator Program Terms at any time. The Creator will be notified of any significant changes, and continued participation in the program constitutes acceptance of the updated terms.
