These Event Organizer Terms and Conditions (“Terms”) outline the agreement between Nagpur Portal Company (NPC) and any entity or individual (“Organizer”) responsible for organizing an event on behalf of NPC. By organizing an event, you agree to the following terms and conditions.
1. Event Scope and Planning
- Event Details: The event will be organized as specified in the event plan or agreement, including the purpose, date, time, location, and any specific requirements. The Organizer must ensure that all aspects of the event are executed as planned.
- Approval: All event details, including the venue, agenda, and promotional materials, must be approved by NPC. Any changes to the event plan must be communicated to and approved by NPC.
2. Responsibilities of the Organizer
- Event Management: The Organizer is responsible for all aspects of event management, including venue selection, logistics, registration, staffing, and coordination of event activities.
- Compliance: Ensure compliance with all local regulations, including permits, health and safety standards, and legal requirements. Obtain necessary approvals and licenses for the event.
- Promotion: Develop and execute a marketing and promotional plan in accordance with NPC’s guidelines. Obtain approval for all promotional materials and communications.
3. Financial Arrangements
- Budget and Expenses: The Organizer must manage the event budget and cover all expenses related to the event, unless otherwise specified in the agreement. The Organizer is responsible for ensuring that expenses are within the agreed-upon budget.
- Revenue: If applicable, revenue generated from the event (e.g., ticket sales, sponsorships) will be handled as outlined in the event agreement. NPC and the Organizer will agree on revenue sharing arrangements and financial reporting.
4. Intellectual Property
- Use of NPC’s Intellectual Property: The Organizer may use NPC’s trademarks, logos, and other intellectual property solely for the purpose of organizing and promoting the event. All uses must be pre-approved by NPC.
- Ownership: NPC retains all rights, title, and interest in its intellectual property. The Organizer agrees not to use NPC’s intellectual property in any way that could cause confusion or harm to NPC’s brand.
5. Confidentiality
- Confidential Information: The Organizer may have access to confidential information related to NPC’s business and the event. The Organizer agrees to maintain the confidentiality of this information and not disclose it to any third party without NPC’s prior written consent.
- Non-Disclosure Agreement (NDA): The Organizer may be required to sign an NDA as part of their involvement. The terms of the NDA will apply in addition to these Terms.
6. Insurance and Liability
- Insurance: The Organizer must obtain and maintain adequate insurance coverage for the event, including liability insurance. Proof of insurance must be provided to NPC upon request.
- Liability: The Organizer is responsible for any damage, loss, or injury resulting from the event. NPC is not liable for any claims, damages, or expenses arising out of the Organizer’s management of the event.
7. Cancellation and Termination
- By NPC: NPC reserves the right to cancel or terminate the event at any time for any reason, including but not limited to breach of these Terms or unforeseen circumstances. The Organizer will be informed of the cancellation or termination decision and any necessary actions.
- By Organizer: The Organizer may cancel or terminate their participation in organizing the event by providing written notice to NPC. The Organizer must fulfill any outstanding obligations or financial commitments.
- Consequences of Cancellation: In the event of cancellation, both parties must return or destroy any proprietary materials related to the event and address any financial or logistical matters.
8. Indemnification
The Organizer agrees to indemnify, defend, and hold harmless NPC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with the event.
9. Dispute Resolution
- Negotiation: Any disputes arising out of or relating to these Terms will be resolved through good-faith negotiation between the parties.
- Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these Terms will be subject to the exclusive jurisdiction of the courts in Nagpur.
11. Amendments
NPC reserves the right to update or modify these Terms at any time. The Organizer will be notified of any significant changes, and continued organization of the event constitutes acceptance of the updated Terms.
