These Media Partner Terms and Conditions (“Terms”) govern the relationship between Nagpur Portal Company (NPC) and any media partner (“Media Partner”) engaged in collaborative efforts for media-related activities. By entering into a media partnership with NPC, the Media Partner agrees to these Terms.
1. Scope of Partnership
- Partnership Overview: The Media Partner will collaborate with NPC to provide media-related services, which may include media coverage, advertising, promotions, or other media support as outlined in the partnership agreement.
- Partnership Agreement: A detailed partnership agreement will specify the scope, deliverables, timelines, and compensation for the media partnership. This agreement must be agreed upon by both parties before the commencement of services.
2. Media Partner Responsibilities
- Service Provision: The Media Partner agrees to deliver media services as specified in the partnership agreement. This includes providing media coverage, distributing content, or any other agreed-upon services.
- Content and Promotion: The Media Partner is responsible for creating and disseminating content in accordance with the guidelines provided by NPC. Any promotional activities must be conducted in a manner that aligns with NPC’s branding and messaging.
- Compliance: The Media Partner must comply with all applicable laws, regulations, and industry standards related to media activities.
3. Compensation and Payment
- Fees: The Media Partner will be compensated as outlined in the partnership agreement. This may include fixed fees, commissions, or other forms of compensation as agreed upon.
- Payment Terms: Payments will be made according to the schedule specified in the partnership agreement. Late payments may incur interest or additional charges.
- Expenses: Any additional expenses incurred by the Media Partner in the performance of media services must be pre-approved by NPC and will be reimbursed as per the agreement.
4. Intellectual Property
- Ownership: All intellectual property rights in content created by the Media Partner for NPC will be owned by NPC upon full payment. The Media Partner retains rights to their pre-existing intellectual property.
- Licensing: The Media Partner grants NPC a non-exclusive, royalty-free license to use, reproduce, and distribute the content for the purposes outlined in the partnership agreement.
5. Confidentiality
- Confidential Information: Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the partnership. This information may not be shared with third parties without prior written consent.
- Data Protection: The Media Partner must handle any personal data or sensitive information in compliance with applicable data protection laws and regulations.
6. Performance and Reporting
- Reporting: The Media Partner agrees to provide regular reports on the performance of media activities, including metrics, reach, and engagement, as specified in the partnership agreement.
- Evaluation: NPC will evaluate the effectiveness of the media partnership based on the agreed-upon metrics and provide feedback to the Media Partner.
7. Termination
- Termination by Media Partner: The Media Partner may terminate the partnership by providing written notice to NPC, subject to any notice period specified in the partnership agreement. The Media Partner will be compensated for services rendered up to the termination date.
- Termination by NPC: NPC reserves the right to terminate the partnership if the Media Partner breaches these Terms or fails to perform as agreed. NPC will provide written notice of termination.
8. Liability and Indemnification
- Limitations: NPC’s liability for any claim arising out of the media partnership is limited to the amount paid for the specific services in question. NPC is not liable for any indirect, incidental, or consequential damages.
- Indemnification: The Media Partner agrees to indemnify and hold NPC harmless from any claims, damages, or liabilities arising from the Media Partner’s performance of media services or breach of these Terms.
9. Dispute Resolution
- Negotiation: Any disputes arising from or relating to these Terms will be resolved through good-faith negotiation between the parties.
- Arbitration: If the dispute cannot be resolved through negotiation, it will be submitted to binding arbitration in Nagpur, Maharashtra, India, in accordance with the rules of the Indian Arbitration and Conciliation Act.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these Terms will be subject to the exclusive jurisdiction of the courts in Nagpur.
11. Amendments
NPC reserves the right to update or modify these Terms at any time. The Media Partner will be notified of any significant changes, and continued participation in the media partnership constitutes acceptance of the updated Terms.
