These Media Sponsorship Guidelines (“Guidelines”) outline the framework for engaging with media sponsors (“Sponsor”) for events, programs, or initiatives organized by Nagpur Portal Company (NPC). These Guidelines ensure a structured and mutually beneficial partnership between NPC and the Sponsor.
1. Purpose of Media Sponsorship
The purpose of media sponsorship is to provide mutual benefits through collaboration where NPC receives media coverage, promotion, or other media-related support in exchange for offering sponsorship opportunities to the Sponsor. Media sponsorship helps increase visibility and reach for both parties.
2. Eligibility for Sponsorship
- Sponsorship Criteria: Media entities must meet NPC’s criteria for sponsorship, including alignment with NPC’s values, target audience, and goals.
- Application Process: Media entities interested in sponsorship must submit a sponsorship proposal detailing their media capabilities, audience reach, and proposed sponsorship package.
3. Sponsorship Packages
- Custom Packages: NPC and the Sponsor will agree on a customized sponsorship package based on the event, program, or initiative. Packages may include media coverage, promotional opportunities, and branding placements.
- Deliverables: The sponsorship package will specify deliverables, such as the type and extent of media coverage, promotional activities, and any other agreed-upon benefits.
4. Sponsorship Benefits
- Media Coverage: Sponsors may receive media coverage across various platforms, including print, digital, and broadcast media.
- Brand Placement: Sponsors will be given opportunities for brand placement, such as logos on promotional materials, event banners, and digital assets.
- Promotional Activities: Sponsors may participate in promotional activities, including press releases, social media mentions, and exclusive interviews.
5. Responsibilities of NPC
- Provide Materials: NPC will provide all necessary materials and information to the Sponsor for effective media coverage and promotional activities.
- Coordinate Coverage: NPC will coordinate with the Sponsor to ensure that all agreed-upon deliverables are met and that media coverage aligns with the sponsorship agreement.
6. Responsibilities of the Sponsor
- Adhere to Guidelines: The Sponsor agrees to adhere to the media sponsorship guidelines and requirements set forth in the sponsorship agreement.
- Promote Partnership: The Sponsor will promote the partnership through their media channels and adhere to agreed-upon branding and messaging guidelines.
- Provide Reports: The Sponsor must provide performance reports and metrics related to the media coverage and promotional activities as outlined in the agreement.
7. Intellectual Property
- Usage Rights: NPC grants the Sponsor limited, non-exclusive rights to use NPC’s trademarks, logos, and other intellectual property for the duration of the sponsorship, in accordance with the sponsorship agreement.
- Ownership: All intellectual property created by NPC for the event or initiative remains the property of NPC.
8. Confidentiality
- Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the sponsorship. Such information may not be disclosed to third parties without prior written consent.
9. Termination
- Termination by Sponsor: The Sponsor may terminate the sponsorship by providing written notice to NPC, subject to any notice period specified in the sponsorship agreement. The Sponsor will be liable for any costs incurred up to the termination date.
- Termination by NPC: NPC reserves the right to terminate the sponsorship if the Sponsor breaches these Guidelines or fails to fulfill their obligations. NPC will provide written notice of termination.
10. Liability and Indemnification
- Limitations: NPC’s liability for any claim arising out of the media sponsorship is limited to the amount paid by the Sponsor for the sponsorship package. NPC is not liable for any indirect, incidental, or consequential damages.
- Indemnification: The Sponsor agrees to indemnify and hold NPC harmless from any claims, damages, or liabilities arising from the Sponsor’s performance of media services or breach of these Guidelines.
11. Dispute Resolution
- Negotiation: Any disputes arising from or relating to these Guidelines will be resolved through good-faith negotiation between the parties.
- Arbitration: If the dispute cannot be resolved through negotiation, it will be submitted to binding arbitration in Nagpur, Maharashtra, India, in accordance with the rules of the Indian Arbitration and Conciliation Act.
12. Governing Law
These Guidelines are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these Guidelines will be subject to the exclusive jurisdiction of the courts in Nagpur.
13. Amendments
NPC reserves the right to update or modify these Guidelines at any time. The Sponsor will be notified of any significant changes, and continued participation in media sponsorship constitutes acceptance of the updated Guidelines.
