These Partner Program Terms and Conditions (“Terms”) outline the agreement between Nagpur Portal Company (NPC) and any entity or individual (“Partner”) participating in the Partner Program. By joining the Partner Program, you agree to the following terms and conditions.

1. Program Overview

  • Nature of Program: The Partner Program is designed to establish a collaborative relationship between NPC and its partners to achieve mutual business goals, including but not limited to marketing, sales, and business development initiatives.
  • Eligibility: Participation in the Partner Program is subject to NPC’s approval. Partners must meet certain criteria set by NPC, which may include business experience, industry relevance, and other qualifications.

2. Roles and Responsibilities

  • Partner Obligations: Partners agree to actively participate in the program, promote NPC’s products or services, and adhere to the guidelines and policies outlined in the program documentation.
  • NPC Obligations: NPC will provide Partners with the necessary resources, support, and information to facilitate the partnership, including but not limited to marketing materials, training, and technical support.

3. Program Benefits

  • Access to Resources: Partners will have access to NPC’s marketing materials, training programs, and other resources as outlined in the program documentation.
  • Commission and Incentives: Partners may be eligible for commissions, incentives, or other financial benefits based on performance metrics and sales achievements. Details of the commission structure and incentive programs will be outlined separately.

4. Intellectual Property

  • License: Partners are granted a non-exclusive, royalty-free, worldwide license to use NPC’s trademarks, logos, and other intellectual property solely for the purpose of promoting and selling NPC’s products or services.
  • Ownership: NPC retains all rights, title, and interest in its intellectual property. Partners agree not to use NPC’s intellectual property in any way that could cause confusion or damage to NPC’s brand.

5. Confidentiality

  • Confidential Information: Both parties may exchange confidential information during the course of the partnership. Partners agree to keep this information confidential and not disclose it to any third party without NPC’s prior written consent.
  • Non-Disclosure Agreement (NDA): Partners may be required to sign an NDA as part of their participation in the program. The terms of the NDA will apply in addition to these Terms.

6. Compliance and Conduct

  • Program Guidelines: Partners must adhere to NPC’s program guidelines, including any ethical standards, marketing practices, and legal requirements.
  • Conduct: Partners agree to conduct themselves professionally and in accordance with NPC’s values and standards. Any conduct that could harm NPC’s reputation or violate these Terms may result in termination from the program.

7. Performance Monitoring

  • Metrics and Reporting: NPC will monitor the performance of the partnership based on agreed-upon metrics. Partners agree to provide regular reports and updates as required by NPC.
  • Reviews: NPC reserves the right to review the performance of Partners periodically. Based on performance, NPC may make adjustments to the program terms or benefits.

8. Financial Arrangements

  • Payment Terms: Commissions or incentives earned by Partners will be paid according to the schedule and terms outlined in the program documentation. Payments will be made through agreed-upon methods, such as bank transfer or other electronic means.
  • Expenses: Partners are responsible for their own expenses unless otherwise specified in the program documentation.

9. Termination

  • By NPC: NPC reserves the right to terminate the partnership at any time for any reason, including but not limited to breach of these Terms, poor performance, or unethical conduct. Partners will be informed of the termination decision and any immediate actions required.
  • By Partner: Partners may terminate their participation in the program by providing written notice to NPC. Partners must complete any outstanding obligations before termination.
  • Consequences of Termination: Upon termination, Partners must cease using NPC’s intellectual property and return or delete any materials or information related to the program.

10. Warranties and Representations

  • Quality of Work: Partners warrant that their promotion and representation of NPC’s products or services will be of professional quality and in compliance with the program guidelines.
  • Legal Compliance: Partners warrant that their activities will comply with all applicable laws and regulations. Partners agree to indemnify NPC against any claims arising from breaches of this warranty.

11. Indemnification

Both parties agree to indemnify, defend, and hold harmless each other, their affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with their participation in the Partner Program.

12. Dispute Resolution

  • Negotiation: Any disputes arising out of or relating to these Terms will be resolved through good-faith negotiation between the parties.
  • Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these Terms will be subject to the exclusive jurisdiction of the courts in Nagpur.

14. Amendments

NPC reserves the right to update or modify these Terms at any time. Partners will be notified of any significant changes, and continued participation in the program constitutes acceptance of the updated Terms.
