These Volunteering Terms outline the agreement between Nagpur Portal Company (NPC) and any volunteer (“Volunteer”) participating in NPC’s volunteer programs. By participating, you agree to the following terms and conditions.

1. Engagement

  • Voluntary Participation: Volunteers offer their time and services on a voluntary basis and are not considered employees of NPC. Volunteers are not entitled to any compensation, benefits, or employment rights.
  • Scope of Work: The specific tasks, responsibilities, and duration of volunteer activities will be outlined in a volunteer agreement or assignment description provided by NPC.

2. Duties and Responsibilities

  • Task Performance: Volunteers agree to perform tasks and responsibilities as described in their assignment. They must adhere to NPC’s guidelines, policies, and procedures while carrying out their duties.
  • Professional Conduct: Volunteers are expected to conduct themselves in a professional manner and represent NPC positively. This includes respecting others, being punctual, and following instructions.

3. Time Commitment

  • Availability: Volunteers must commit to the agreed-upon schedule as outlined in the volunteer agreement. Changes to availability should be communicated to NPC as soon as possible.
  • Flexibility: While volunteers are expected to adhere to their schedule, some flexibility may be required based on project needs or unforeseen circumstances.

4. Confidentiality

  • Confidential Information: Volunteers may have access to confidential information, including business plans, client details, and proprietary data. Volunteers agree to maintain the confidentiality of this information and not disclose it to any third party without NPC’s prior written consent.
  • Non-Disclosure Agreement (NDA): Volunteers may be required to sign an NDA as part of their participation. The terms of the NDA will apply in addition to these Volunteering Terms.

5. Health and Safety

  • Safety Guidelines: Volunteers must adhere to NPC’s health and safety guidelines and practices. Any potential hazards or safety concerns should be reported to NPC immediately.
  • Medical Conditions: Volunteers should inform NPC of any medical conditions or limitations that may affect their ability to perform their duties safely.

6. Training and Support

  • Orientation: Volunteers may receive orientation or training related to their duties. NPC will provide necessary support and resources to ensure volunteers can perform their tasks effectively.
  • Supervision: Volunteers will be supervised by designated NPC staff or coordinators. Regular feedback and support will be provided to help volunteers succeed in their roles.

7. Intellectual Property

  • Ownership: Any work or content created by volunteers during their service may become the property of NPC. Volunteers agree to assign any rights in such work to NPC.
  • Use of Work: NPC may use, modify, and distribute any work created by volunteers as part of their service, including for promotional purposes.

8. Termination

  • By NPC: NPC reserves the right to terminate a volunteer’s participation at any time for any reason, including but not limited to breach of terms, poor performance, or misconduct. Volunteers will be informed of the termination decision and any immediate actions required.
  • By Volunteer: Volunteers may terminate their participation by providing written notice to NPC. Volunteers should complete any outstanding tasks or provide reasonable notice as agreed.
  • Consequences of Termination: Upon termination, volunteers must return or delete any NPC property, data, or materials in their possession.

9. Liability and Indemnification

  • Liability: Volunteers agree to indemnify and hold harmless NPC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of their volunteer activities.
  • Insurance: NPC does not provide insurance coverage for volunteers. Volunteers are encouraged to carry their own insurance if needed.

10. Code of Conduct

  • Behavior: Volunteers must adhere to NPC’s Code of Conduct, which includes treating others with respect, avoiding discrimination, and maintaining a positive and inclusive environment.
  • Discipline: Violations of NPC’s Code of Conduct may result in disciplinary action, including termination from the volunteer program.

11. Dispute Resolution

  • Negotiation: Any disputes arising out of or relating to these Volunteering Terms will be resolved through good-faith negotiation between the parties.
  • Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Nagpur, Maharashtra, India. The arbitration will be conducted in accordance with the rules of the Indian Arbitration and Conciliation Act.

12. Governing Law

These Volunteering Terms are governed by and construed in accordance with the laws of the state of Maharashtra, India. Any legal action or proceeding arising under these terms will be subject to the exclusive jurisdiction of the courts in Nagpur.

13. Amendments

NPC reserves the right to update or modify these Volunteering Terms at any time. Volunteers will be notified of any significant changes, and continued participation in the program constitutes acceptance of the updated terms.
